These Terms of Service ("Terms") govern your access to and use of the TSE Group website located at tsegroup.world and any subdomains, pages, or digital properties operated by TSE Group (collectively, the "Site"). By accessing the Site, submitting any form, applying for a role, registering for an event, or otherwise engaging with TSE Group through the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements, and that you agree to these Terms in full.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TSE GROUP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE.
In no event shall TSE Group's total cumulative liability to you exceed the greater of (a) USD $100 or (b) the amount you paid to TSE Group in the twelve months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, statute, or otherwise) and even if TSE Group has been advised of the possibility of such damages. Some jurisdictions do not allow exclusions or limitations of liability, so the above limitations may not apply to you in full.
You agree to defend, indemnify, and hold harmless TSE Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit through the Site that proves to be false, misleading, or in violation of any applicable law.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. For matters arising specifically in connection with TSE Group's Kenya operations, Kenyan law shall apply to the extent required by local statute.
Any dispute arising out of or in connection with these Terms shall first be subject to a 30-day good-faith negotiation period. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (US disputes) or the Chartered Institute of Arbitrators (Kenya Branch) for Kenya-specific disputes, unless both parties agree otherwise in writing.
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from the Terms without affecting the enforceability of the remaining provisions.
These Terms, together with our Privacy Policy, Intellectual Property Policy, and Kenya Operations Policy, constitute the entire agreement between you and TSE Group regarding your use of the Site and supersede all prior agreements, representations, or understandings.

TSE Group's intellectual property — its name, identity, content, systems, and creative work — represents the product of significant investment, vision, and community trust. We protect it rigorously, and we ask that you respect it accordingly.
All intellectual property on the TSE Group website (tsegroup.world) and in TSE Group's materials, programmes, communications, and brand assets is owned by TSE Group or its licensors. This includes, without limitation:

The TSE Group name, logo, wordmark, and associated brand elements are trademarks (whether registered or unregistered) of TSE Group. The IMPACT event name and "The TSE Global Experience" are proprietary identifiers of TSE Group programmes.
You may not use TSE Group's trademarks or brand elements in any way that:
Factual references to TSE Group in editorial or journalistic contexts (e.g., "TSE Group announced...") are generally permissible, provided they are accurate and do not imply endorsement.
All original content on the Site is protected by copyright. TSE Group's copyright subsists in all original literary, artistic, and creative works, including website copy, descriptions, narratives, programme frameworks, visual designs, and event materials.
Under the Berne Convention (to which both the US and Kenya are signatories), copyright protection arises automatically upon creation and does not require registration. TSE Group's rights are protected in all 181 member countries.
In Kenya, copyright is additionally protected by the Copyright Act, Cap 130 (revised 2021), administered by the Kenya Copyright Board (KECOBO). In the United States, protection is governed by the Copyright Act (17 U.S.C. §§ 101 et seq.).

All intellectual property created by TSE Group employees or contractors in the course of their engagement with TSE Group — including content, designs, systems, frameworks, code, and other deliverables — vests in TSE Group from the moment of creation.
Employment and contractor agreements with TSE Group include specific IP assignment provisions consistent with the applicable laws of both Kenya (Employment Act, Cap 226; Industrial Property Act, Cap 509) and the United States. Where pre-existing IP is incorporated into deliverables, this is subject to express negotiation and a written licence agreement.
Former employees and contractors retain no rights to use, reproduce, or commercially exploit TSE Group IP following the conclusion of their engagement, except as expressly authorised in writing.
When you submit content to TSE Group through forms, applications, or other channels (including CVs, cover letters, personal statements, photographs, or other materials), you:
TSE Group does not claim ownership over user-submitted personal content. CVs, portfolios, and personal statements remain your property and are handled in accordance with our Privacy Policy.
If you believe any content on the TSE Group Site infringes your intellectual property rights, please send a written notice to legal@tsegroup.world containing the following information:
We will review all valid notices promptly and take appropriate action in accordance with applicable law. Repeat infringers will have their access to the Site terminated.

Certain TSE Group materials and information constitute confidential information and trade secrets protected under the US Defend Trade Secrets Act (18 U.S.C. § 1836) and Kenya's law of confidentiality. This includes business strategies, operational frameworks, financial projections, and proprietary community-building methodologies.
Any person who gains access to TSE Group's confidential information through their engagement with the organisation — whether as a prospective employee, partner, contractor, or in another capacity — is bound by confidentiality obligations consistent with the terms under which access was granted.

We do not operate in Kenya as an external actor imposing external frameworks — we build with Kenya, within Kenya's legal and cultural landscape, for the benefit of Kenyan communities.
TSE Group's Kenya operations are structured and maintained in full compliance with the Companies Act, 2015 (Act No. 17 of 2015), administered by the Business Registration Service (BRS). All required registrations, annual filings, and statutory obligations are met as required by law.

Local Hiring Commitment
TSE Group is committed to local hiring as a matter of operational principle, not merely regulatory compliance. We actively prioritise the recruitment, training, and advancement of Kenyan nationals across all levels of the organisation. Where specialist skills require external recruitment, we commit to skills transfer programmes that build local capacity over time.
Foreign nationals employed by TSE Group in Kenya hold valid work permits or relevant authorisations issued in accordance with the Kenya Citizenship and Immigration Act, 2011 and Immigration Act (Cap 172). We do not employ undocumented workers or persons lacking valid authorisation to work in Kenya.

Harassment & Workplace Dignity
TSE Group maintains a strict zero-tolerance policy on sexual harassment, workplace bullying, and any form of intimidation or abuse. All complaints are taken seriously, investigated promptly by a designated impartial officer, and resolved in accordance with formal procedures. Complainants are protected from retaliation. Our policies are consistent with the Employment Act and Sexual Offences Act, 2006.
TSE Group's Kenya operations comply fully with the Data Protection Act, 2019 (Act No. 24 of 2019) — Kenya's primary data protection legislation — and the subsidiary regulations including the:
Key obligations we fulfil include: registration as a data controller and/or processor with the Office of the Data Protection Commissioner (ODPC); maintaining a data register; conducting data protection impact assessments for high-risk processing activities; appointing a Data Protection Officer (DPO) or equivalent responsible person; and providing individuals with the rights set out in the Act including access, rectification, erasure, and objection.
Personal data of Kenyan individuals is processed strictly in accordance with the eight data protection principles in the Act: lawfulness, purpose limitation, data minimisation, accuracy, storage limitation, integrity and confidentiality, accountability, and data subject rights.
Cross-border transfers of personal data of Kenyan individuals are conducted only to jurisdictions providing adequate protection, or with appropriate safeguards including standard contractual clauses approved by the ODPC, consistent with Section 49 of the Data Protection Act, 2019.
Community engagement is not peripheral to TSE Group's Kenya operations — it is the operational core. Our community engagement framework is built on the following commitments:
Our community engagement activities are conducted in awareness of and complementary to Kenya's Community Development Fund Act, National Cohesion and Integration Act, 2008, and relevant county-level community frameworks.
TSE Group is committed to environmentally responsible operations in Kenya, in compliance with the Environmental Management and Coordination Act, 1999 (EMCA) and regulations issued under it by the National Environment Management Authority (NEMA). Where applicable, we conduct or commission environmental impact assessments and maintain required licences and permits.
We minimise waste, prioritise sustainable procurement, and seek to reduce our carbon footprint across all Kenya operations. Event planning for programmes such as IMPACT incorporates environmental considerations including waste management, venue selection, and logistical sustainability.
Where TSE Group's activities constitute the provision of services to consumers in Kenya, we comply with the Consumer Protection Act, 2012. All representations made about TSE Group programmes, events, and services are accurate and non-misleading. No deceptive, unconscionable, or exploitative practices are engaged in.
Event attendees, job applicants, and community participants have the right to accurate information about TSE Group's activities, fair treatment, and access to a complaints process. TSE Group does not charge participation fees for community or employment-related engagement without clear, prior disclosure.
TSE Group meets all Kenya Revenue Authority (KRA) obligations for its operations, including corporate income tax (Pay-As-You-Earn, where applicable), VAT filing and remittance, withholding tax obligations, and any other tax liabilities arising from operations in Kenya. We do not engage in tax evasion or abusive tax avoidance structures.
All financial transactions are recorded accurately and in compliance with applicable accounting standards. TSE Group maintains records for the minimum statutory period required by law and cooperates fully with any lawful audit or investigation by Kenyan authorities.
Disputes arising from TSE Group's employment relationships in Kenya are subject to resolution in accordance with the Employment and Labour Relations Court Act, 2011 and the jurisdiction of the Employment and Labour Relations Court (ELRC). Employees are encouraged to first pursue internal resolution through the company's grievance procedure before escalating to formal proceedings.
Commercial disputes arising from TSE Group's Kenya operations are governed by Kenyan law and may be referred to arbitration under the Arbitration Act, 1995 or submitted to the jurisdiction of the High Court of Kenya (Commercial Division), at the election of the parties.
TSE Group will not prevent employees or community members from exercising their legal rights to access appropriate courts, tribunals, or regulatory bodies in Kenya.
TSE Group maintains an open, confidential channel for reporting concerns about compliance, ethics, or conduct within the organisation. Concerns may be raised by any employee, contractor, community member, or third party by emailing ethics@tsegroup.world.
All reports are treated with strict confidentiality. Persons who report genuine concerns in good faith are protected from retaliation, consistent with the principles of Kenya's Whistleblower Protection Act and TSE Group's internal non-retaliation policy. False or malicious reports made in bad faith are not protected and may be subject to disciplinary action.
TSE Group investigates all reported concerns promptly and impartially. Outcomes are communicated to reporters where permissible by law and internal policy.
